Terms of Service

1. Acceptance

By creating an account or using Diligent Path (“Service”), you agree to these Terms of Service (“Terms”). If you do not agree, do not use the Service. If you're using the Service on behalf of an organization, you represent that you have authority to bind that organization.

2. The Service

Diligent Path provides AI-powered due-diligence software for business buyers, including document analysis, red-flag detection, Q&A generation, and reporting. We may add, remove, or modify features at any time, with reasonable notice for material removals.

3. Accounts

  • You must be at least 18 years old and legally able to enter into contracts.
  • You are responsible for safeguarding your credentials and for all activity under your account.
  • You must provide accurate information and keep it current.
  • Notify us promptly of any unauthorized access at security@diligentpath.com.

4. Subscription and billing

Trial

New accounts receive a 14-day free trial of the plan selected at signup. A payment method is required to start the trial. You will not be charged during the trial period.

Billing

Subscriptions auto-renew at the end of each billing period (monthly or annual) at the then-current rate. Fees are non-refundable except as required by law or explicitly stated (e.g., annual plans: pro-rata refund in first 30 days).

Cancellation

You may cancel anytime from Settings. Cancellation takes effect at the end of the current billing period. You retain access until then, plus 30 days of read-only export access thereafter.

Price changes

We may change pricing with at least 30 days' notice. Changes apply to subsequent billing periods; you may cancel before the change takes effect if you disagree.

5. Your content

You retain all rights to documents, notes, and other content you upload (“Your Content”). You grant us a limited license to host, process, and display Your Content solely to provide the Service to you. We do not use Your Content to train AI models.

6. Acceptable use

You may not:

  • Upload content you do not have rights to
  • Use the Service for illegal purposes or to harass others
  • Attempt to reverse-engineer, decompile, or extract source code
  • Circumvent rate limits or plan capacity limits
  • Resell the Service without written authorization
  • Use the Service to build a competing AI training dataset

7. AI-generated output

The Service uses AI models to generate analysis, flags, and summaries (“AI Output”). AI Output is provided “as-is” for your evaluation only and does not constitute legal, financial, accounting, tax, or professional advice of any kind. You are solely responsible for reviewing, verifying, and independently confirming all AI Output before making any business, investment, or acquisition decision. No AI Output should be relied upon as a substitute for qualified professional counsel.

8. Intellectual property

The Service, including its software, interface, templates, and documentation, is owned by Diligent Path and protected by intellectual property laws. These Terms do not grant you any rights to our trademarks, logos, or branding.

9. Termination

We may suspend or terminate accounts that violate these Terms, fail to pay, or pose security or legal risk. In case of material violation, termination may be immediate. Otherwise, we will provide reasonable notice and opportunity to cure.

10. Service availability and SLA

We aim for 99.5% monthly uptime on Starter and Professional plans, and 99.9% on Enterprise plans. Planned maintenance is announced in advance. Credits for sustained outages are described in your plan's SLA addendum (Enterprise only).

11. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. AI OUTPUT MAY CONTAIN ERRORS OR OMISSIONS. YOUR USE OF THE SERVICE AND ANY RELIANCE ON AI OUTPUT IS ENTIRELY AT YOUR OWN RISK. DILIGENT PATH MAKES NO REPRESENTATION OR WARRANTY THAT AI OUTPUT IS ACCURATE, COMPLETE, OR SUITABLE FOR ANY PARTICULAR TRANSACTION OR DECISION.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DILIGENT PATH SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOST PROFITS, LOST DEAL VALUE, FAILED ACQUISITIONS, OR DAMAGES ARISING FROM RELIANCE ON AI OUTPUT. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THE SERVICE SHALL NOT EXCEED THE FEES PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM.

13. Indemnification

You agree to defend, indemnify, and hold harmless Diligent Path, its officers, directors, employees, contractors, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

  • Your Content — any documents, data, or materials you upload to the Service;
  • Your business decisions — any acquisition, investment, or transaction decision you make, whether based on AI Output or otherwise;
  • Deal outcomes — any outcome or result of a business acquisition, merger, asset purchase, or similar transaction in connection with which you used the Service;
  • Third-party claims — claims by sellers, advisors, lenders, investors, or counterparties arising from your use of AI Output or reports generated by the Service;
  • Professional relationships — any dispute between you and your attorneys, accountants, brokers, or other advisors relating to work performed in connection with a deal where DiligentPath was used;
  • Violation of these Terms — your breach of any provision of these Terms or applicable law;
  • Third-party rights — your infringement of any intellectual property, privacy, or other rights of a third party.

Diligent Path is a software tool that assists with due diligence workflows. It is not a party to any transaction, does not provide professional advice, and bears no responsibility for the outcome of any deal or business decision. You are the sole decision-maker and bear all responsibility for how you act on any information generated by the Service.

14. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-law rules. Disputes shall be resolved through binding arbitration administered by the American Arbitration Association, except for injunctive relief which may be sought in court.

15. Changes to these Terms

We may update these Terms from time to time. Material changes will be notified via email and announced on this page at least 30 days before taking effect. Continued use of the Service after changes constitutes acceptance.
